Terms of Service

1. Acceptance of Terms

By accessing or using UPWIZE ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and UPWIZE. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

UPWIZE is an AI-powered college essay planning application that helps students:

• Analyze and organize essay prompts from multiple colleges
• Identify connections and themes between different essays
• Create strategic writing plans
• Draft and edit essays with AI assistance
• Track progress across their application portfolio

3. Account Registration

To use UPWIZE, you must:

• Be at least 13 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

For Family Plan users, the account owner (payment owner) is responsible for any additional users added to their subscription.

4. Payment Terms

4.1 Pricing

• Individual Plan: $40 USD one-time payment for 1 user account
• Family Plan: $50 USD one-time payment for 2 user accounts

These are one-time payments, not recurring subscriptions.

4.2 Application Season & Expiration

All subscriptions expire on July 15th following your purchase date. This aligns with the end of the college application season.

• Purchases made between July 16th and July 15th of the following year provide access until July 15th
• For example: A purchase made in December 2024 expires on July 15, 2026
• After expiration, you must purchase a new subscription for the next application season
• Your essay data remains saved and accessible if you renew

4.3 Payment Processing

Payments are processed through PayPal. By making a purchase, you agree to PayPal's terms of service. We accept payment via PayPal balance, credit/debit cards (through PayPal), and Venmo.

4.4 Additional Costs

AI features require your own Anthropic API key. API usage costs are billed directly by Anthropic and are separate from your UPWIZE subscription. Typical API costs range from $5-15 for a full application season.

6. Acceptable Use Policy

You agree NOT to:

• Share your account credentials with others (except Family Plan members)
• Use the Service for any unlawful purpose
• Submit content that is illegal, harmful, or violates others' rights
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Reverse engineer or attempt to extract source code
• Use the Service to submit plagiarized content to colleges
• Resell or redistribute access to the Service

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to the essays and content you create using UPWIZE. Your essays are yours. We do not claim any ownership over your creative work.

7.2 Our Content

The UPWIZE application, including its design, features, code, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

7.3 AI-Generated Content

AI analysis, suggestions, and draft content generated through UPWIZE are provided as tools to assist your writing. You are responsible for reviewing, editing, and taking ownership of any content you submit to colleges.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

• We do not guarantee admission to any college or university
• AI suggestions are not substitutes for professional advice
• Essay analysis and recommendations are tools, not guarantees of quality
• Service availability may be interrupted for maintenance or technical issues
• We are not responsible for decisions made by college admissions offices

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPWIZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

Our total liability for any claims arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless UPWIZE from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

By You: You may delete your account at any time through Settings. Deletion is permanent and cannot be undone.

By Us: We may suspend or terminate your account if you violate these Terms or engage in conduct harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, disclaimers, and liability survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Pennsylvania. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use after changes constitutes acceptance of the updated Terms.
